as UCCDV)
Party B:____________________________
Manage model: self-service manage/consign Party A to manage
UCCDV approves network self-service management, takes the double
win of network join-in hotels and itself as goal, bases on the network
customers source formed by the strong media of UCCDV, and holds
on to the principle of friendly cooperation and mutual benefit,
which agrees the following agreement with Party B:
ⅠRights and obligations of Party A
1. Once Party B sign the join-in agreement, Party A will immediately
assign the news and advertising information on the magazine "International
Hotels" and " Direct VIP", on the website www.intl.com
and www.directvip.com about Party B join-in UCCDV.
2. Party A should and must make an advertisement including hotel
location, star rate, mainly dealing field, features, address,
contact person, telephone number, fax number, email address and
web address for Party B with charge free. At the same time, issue
the advertisement on the publishing of UCCDV's medias "International
Hotels" "Direct VIP" "White Collar Finance"
"Finance and Technology" (the above mentioned publications
possess readers over 1 million, possess clients resources in financing
industry and IT industry over 8 years, conformity resources in
tourism industry over 5 years)
3. Party A shall provide Direct VIP Card sample at the hotel main
hall of Party B as the valid proof for Direct VIP card member
identification
4. Party A shall provide relevant information detail web page
on www.directvip.com for Party B. Hotel is entitled to modify
and append on the page by itself. At the same time enjoy the rights
to add news in press release section freely.
5. Party A should provide Party B hotelier's reading "International
Hotels", guestroom reading "Direct VIP" in 20%
off discount, 5 copies for each magazine year round;
6. Party A should provide in-time communication free service call:
800 830 8327;
7. In the case Party B is not capable to maintain self-service,
Party B could consign Party A to manage for it charge free
8. Party A can adopt three reservation modes: reserve directly
with card, reserve by phone, reserve online. The VIP member will
handle these operations directly with the hotels
9. Party A will shoulder the responsibility to construct huge
powerful member network, oriented to afford hotel customers to
Party B as final aim; Party A will provide Direct VIP member's
information to Party B for references
Ⅱ Rights and obligations of Party B
1. After subscription of the agreement, Party B should and must
place the VIP crystal card sample provided by Party A distinctly
at the hotel reception to let the customer see and recognize it
in time. Any affection on the customer resource caused by failure
in placement of the card sample, Party A will take no responsibilities.
2. Party A will provide Direct VIP member cards to the registered
members. Party B should ratify and afford relevant service under
no conditions. Party B should and need to validate the VIP card;
Party B is obligated to reclaim the one-off experience member
card and return to Party A
3. Party A provides Party B the information platform through www.directvip.com
. Party B should manage and maintain it in self-service mode.
(Self-service management: Party B manages and maintains on the
website about room price updates and information issues and changes.
Party A is entitled to supervise review the maintenance work by
Party B. If Party B do not possess website or cannot access to
the internet) Party B could add and revise relevant data and news
online by itself according to guestroom type condition to ensure
the customer accurate acceptance of hotel information during search.
4. Party B should notice relevant departments (reception and check-out
account) about the Direct VIP balance price for the convenience
in balance. Any blight and customer loss resulted in the fact
that VIP member failed to balance in the agreement price will
charge on Party B and affect the credit grade of Party B.
5. If Party A found any untrue or false information of hotels
of Party B, Party A is entitled to retain the right to revise
or delete relevant information.
6. Please state clearly other promotions about dining and entertainments
in the hotel after check-in on the website.
7. The VIP balance price provided by Party B should be lower than
other network booking price. Party A will reclaim the hotel member
title if Party B provided a VIP price higher than its ordinary
network price. (Please refer the intraday web price provided by
hotel as the current one)

Party A will take no responsibility for any blight in customer
resource, credit or grade caused by the blur of filling . Party
B could consign Party A to manage if Party B could not maintain
self-service management. Party B should fax to inform Party A
about any price changes changed with the environment or season
15 days in advance. Any price difference, influence on check-in
rate or customer complain resulted from failure in notice Party
A in time, Party A will take no responsibilities.

to Party A within 3 days to revise. Party B will take the blights
and expenses caused by failure in notice Party A in time)
Ⅲ Way of Payment
Make the reservation without commission. Customer holding Direct
VIP Card could enjoy the above Direct VIP balance price directly
at the hotel (Direct VIP price is only for the registered Direct
VIP member, not to all customers)
Ⅳ The agreement should be kept as top secret
between both partners
Ⅴ Validity of the agreement is two years
Ⅵ The agreement start to take effect
after being signed and stamped by both partners The agreement
has two copies, respectively hold by both partners. The agreement
has two originals in uniformity, Party A and Party B each keeps
one original. Fax copy of the agreement is available.
Ⅶ Others
Party A welcomes Party B to be the sales agent of the Direct VIP
Card, and Party A will grant favor and reduction under this condition.
Ⅷ Other matters should be settled through
friendly consultation between the contracting parties.
