Party A: The Direct VIP of
the United Chamber of Commerce (Shenzhen Union Industry
Development Co., Ltd. of China)
Party B:___________________________________________________
To intensively enlarge the VIP member source, we two parties
now reach the following agreements based on the principles
of amity co-operation and mutual benefits:
Ⅰ Rights and obligations of Party A
1. Party A provides Party B 5 Direct VIP Formal
Cards and 10 Direct VIP Experience Cards as sample cards in
once, and related propagandizing information and member hotels
name list for Party B as sales reference;
2. Party A has the
constituting right and releasing right of products price,
and also has the right to adjust the price according to market
fluctuation. Party A will inform Party B in written form about
the price adjustment as soon as it happens. Thus the former
price terms automatically expires;
3. Party A has powerful
advertising mediums, and is in charge of product propagandizing;
4.
Within the expiration period of this agreement, Party A can select two or three agents
in the city where Party B locates, and select the sole agent
through competition;
5. Upon receipt of VIP member registration
form faxed by Party B, Party A has to send the VIP card within
48 hours.
Ⅱ Rights and obligations of Party B
1. Party B has
to follow the product price policy established by Party A
and can’t change the price to raid the market. The unified
domestic Direct VIP card price is RMB280/card; bulk price
is RMB180/card over 10 cards.
2. Party B must pay RMB1000
as guarantee.
3. If the average monthly sales volume reaches
50 cards, Party B can apply to be the sole agent of Direct
VIP card in the city (first class city and capital city are
not included), and have the most favorable agent policy. If
the average monthly sales volume is under 10 cards, Party
A will inform Party B the cancellation of its qualification
of deputy agent and will refund the guarantee fee. Party B
should return the Direct VIP sample cards and authorization
letter in ten days;
4. Party B should fill the “Agent Registration
Form” according to the facts, and if there is any change Party
B should inform Party A within ten days in written form.

After client fills the member registration form and pays the
card fees, Party B should send back the registration form
to Party A immediately; releases invoice or receipt to clients
and informs them to keep well the invoice or receipt
6. Party
B must set up a complete guest service file for the guests
who bought our products.
7. In the procedure of deputizing
Party A’s product, Party B can’t harm Party A’s reputation
and interest in any forms.
8. If Party B has any activities
that break the agreement, Party A can seizure the guarantee
money, and Party B should be responsible for the consequences.
Ⅲ The Rules of Commission and Encouragement
for Agents
1. Party
B can drawn commission of RMB90/card (that is Party A will
charge RMB190/card with Party B); If the monthly selling card
number is above 20, the commission can be raised
to RMB95/card; If the monthly selling card number is above
30, the commission can be raised to RMB105/card; If the monthly
selling card number is above 50, the commission can be raised
to RMB120/card.
2. Organization member card: RMB180/card (over
10 cards)Party B can drawn commission of RMB50/card (that
is Party A will charge RMB130/card with Party B); if the monthly
selling card number is above 40, the commission can be raised
to RMB55/card; If the monthly selling card number is above
80, the commission can be raised to RMB60/card.
Ⅳ Way of Payment:
Apply
online payment (Party B open an account in China Merchants
Bank, and active the online payment function). Party B must
remit the payment to Party A’s account within 24 hours after
Party A receives the payment of clients card purchasing. Party
B must remit the payment to the account and account number
appointed by Party A, and mustn’t make any changes or remit
to individual account, if any economical dissension happens
due to the above reasons, Party A
won’t take any responsibilities.
Ⅴ Available term of the agreement
The agent qualification and authorization of Party B is ______DD
______MM______YY to ______DD ______MM ______YY. The agreement
will automatically expire when it comes to the time limit,
and Party A will refund Party B the guarantee money. Party
A and Party B can re-sign the agreement according to negotiation.
Ⅵ Attachment
1. If Party A or Party B finds any activities of
the opposite side that violently against the clauses of this
agreement, violently against the commercial moral and laws,
or violently damage the benefits of itself, then it can make
written propose to end the agreement. The agreement only terminates
after two sides confirmation;
2. The agreement will take effect
on the day of subscription; the attached files will also take
effect within the agreement term;
3. Party A and Party B can
recruit or amend the agreement during the cooperation process;
The agreement has two originals in uniformity, Party A and
Party B each keeps one original. (Contract Attachment): Agent
