Party A: The Direct VIP of
the United Chamber of Commerce (Shenzhen Union Industry
Development Co., Ltd. of China)
Party B: ___________________________________________________
The
Direct VIP of the United Chamber of Commerce takes “International
Hotel”, “Direct VIP”, “White-Collar Finance”, and “Finance
and Technology” etc. as traditional medium, and www.directvip.com
www.intl-hotel.com as electronic medium. These two mediums
form the enormous guest source network base of The Direct
VIP of the United Chamber of Commerce. Relying on its distinguished
status in China hotel industry, The Direct VIP of the United
Chamber of Commerce has made the “Membership Hotel Co-operation
Agreements” with most of the high-rank and middle-rank hotels
in China. As the Party A of “Direct VIP Chargeable Guest”,
they can enjoy the real favorable non-agency and mission free
room rate in the member hotels (lower than any regular network
reservation rate).The Direct VIP of the United Chamber of
Commerce submits Shenzhen Union Industry Development Co.,
Ltd. as its undertaker in China mainland. To intensively enlarge
the VIP member source, we two parties now reach the following
agreements based on the principles of amity co-operation and
mutual benefits:
Ⅰ Rights and obligations of Party A
1. Party
A provides the Direct VIP Card related propagandizing information
and member hotels name list for Party B as sales reference;
2.
Party A has the constituting right and releasing right of
products price, and also has the right to adjust the price
according to market fluctuation. Party A will inform Party
B in written form about the price adjustment as soon as it
happens. Thus the former price terms automatically expires;
3.
Party A is in charge of product propagandizing. The Direct
VIP of the United Chamber of Commerce has powerful advertising
mediums, it owns not only four periodical magazines “International
Hotel”, “Direct VIP”, “White-Collar Finance”, and “Finance
and Technology”, but also establishes s ix major websites
of www.directvip.com, www.ihhr.com, www.ihfo.com, www.af.net.cn,
www.ytintl.com, and www.intl-hotel.com;
4. Within the expiration
period of this agreement, Party A can select two or three
agents in the city where Party B locates, and select the sole
agent through competition;
5. Party A will make brand advertisement
for Party B with charge-free, and issues it on The Direct
VIP of the United Chamber of Commerce’s medium “International
Hotel”, “Direct VIP”, “White-Collar Finance”, and “Finance
and Technology”, and supply the super link of Party B in the
websites;
6. Party A will recommend Party B’s hotel to Direct
VIP card members in priority;
7. Upon receipt of VIP member
registration form faxed by Party B, Party A has to send the
VIP card within 48 hours.
Ⅱ Rights and obligations of Party B
1. Party B has to follow the product price policy established
by Party A and can’t change the price to raid the market.
The unified domestic Direct VIP card price is RMB280/card;
bulk price is RMB 180/card over 10 cards;
2. With 20% discount
(within 5 sets in whole year), Party B can subscribe The Direct
VIP of the United Chamber of Commerce’s medium magazines “International
Hotel”, “Direct VIP”, “White-Collar Finance”, and “Finance
and Technology”;
3. Party B can have the biggest discount when
advertising through Party A’s medium. The details can be inquired
by calling 800-830-8327;
4. If the average monthly sales volume
reaches 50 cards, Party B can apply to be the sole agent of
Direct VIP card in the city (first class city and capital
city are not included), and have the most favorable agent
policy. If the average monthly sales volume is under 10 cards,
Party A can inform Party B to cancel its qualification of
deputy agent. Party B should return the authorization letter
and the fees of sold cards in ten days;
5. In the procedure
of deputizing Party A’s product, Party B can’t harm Party
A’s reputation and interest in any forms;
6. Party B should
fill the “Agent Registration Form” according to the facts,
and if there is any change Party B should inform Party A within
ten days in written form;
7. After client fills the registration
form and pays the card charge, Party B must give guest invoice
or receipt, and ask them to keep it properly. During this
period, client can enjoy VIP member price of room rate in
Party B’s hotel;
8. After Party B receives card payment, it
should send back the registration form to Party A immediately,
and set up a complete guest service file;
9. Party B has the
obligation to maintain old guest of Direct VIP card initiatively;
10.
If Party B arranges Direct VIP card promotion activities in
its regions, it must inform Party A the detailed promotion
project in written form. Party A will provide human and material
source support according to the situation;
11. Party B has
the obligation to keep the business secret both sides, and
supply the local market trends to develop the market with
Party A together.
Ⅲ The Rules of Commission and Encouragement
for AgentsIndividual
member card: RMB280/card
Party B can drawn
commission of RMB90/card (that is Party A will charge RMB190/card
with Party B); If the monthly selling card number is above
20, the commission can be raised to RMB95/card; If the monthly
selling card number is above 30, the commission can be raised
to RMB105/card; If the monthly selling card number is above
50, the commission can be raised to RMB120/card
Organization member card: RMB180/card
Ⅳ Way of Payment
Party B will monthly remit the last month payment to the account
appointed by Party A before 5th of current month. Party B
must remit the payment to the account and account number appointed
by Party A, and mustn’t make any changes or remit to individual
account, if any economical dissension happens due to the above
reasons, Party A won’t take any responsibilities. T/T account

Ⅴ Available time of the agreement
The
agent qualification and authorization of Party B is ______DD
______MM______YY to ______DD ______MM ______YY. The agreement
will automatically expire when it comes to the time limit.
Party A and Party B can re-sign the agreement according to
negotiation.
Ⅵ Attachment
1. If Party A or Party B finds any
activities of the opposite side that violently against the
clauses of this agreement, violently against the commercial
moral and laws, or violently damage the benefits of itself,
then it can make written propose to end the agreement. The
agreement only terminates after two sides confirmation;
2.
The agreement will take effect after the signature and cachet
of legal representative or authorized person of both sides;
3.
The agreement will take effect on the day of subscription;
the attached files will also take effect within the agreement
term;
4. Party A and Party B can recruit or amend the agreement
during the cooperation process. The agreement has two originals
in uniformity, Party A and Party B each keeps one original.
